Job Description
We are seeking a professional Legal Manager who plays a crucial role in overseeing the company’s legal affairs, including contract management, strategic legal advisory, and compliance oversight, all aimed at safeguarding the organization’s interests across all business functions. The individual is responsible for meticulously drafting and negotiating contracts to protect the company’s legal risk while ensuring adherence to regulatory requirements. As a trusted advisor to senior leadership and cross-functional teams, the Legal Manager provides clear, actionable guidance on complex legal matters that align with the company’s strategic objectives. This role also encompasses governance support, effective management of dispute resolution and litigation, and proactive risk identification and mitigation. Furthermore, the Legal Manager is tasked with protecting intellectual property assets, formulating policies, acting as a liaison for regulatory matters, and delivering targeted legal training to promote a culture of compliance and legal integrity within the organization. Staying updated on legal changes, the legal counsel advises the company on new legislation and regulatory shifts, helping navigate potential pitfalls. Ultimately, this role serves as a guardian of the company’s legal health, providing both protection and strategic insight to support business growth and sustainability.

Key Duties and Responsibilities:
• Oversee contract drafting, negotiation, and review to ensure legal soundness and protection of company interests. Maintain an organized database of all contracts and legal documents for easy access and reference.
• Provide strategic legal counsel to senior management and cross-functional teams on complex legal matters, ensuring clear interpretation and actionable guidance aligned with business objectives.
• Develop and monitor compliance programs to ensure adherence to internal policies and applicable laws. Support corporate governance by advising the Board and senior management, and facilitating proper documentation of board activities.
• Manage pre-litigation disputes and oversee litigation processes, including selecting and coordinating external counsel. Lead internal investigations related to misconduct or regulatory issues.
• Identify, assess, and mitigate legal risks associated with business operations and initiatives. Develop strategies to minimize exposure to disputes and legal challenges.
• Oversee protection and management of intellectual property assets, including trademarks, patents, and copyrights. Advise on legal implications related to new products and marketing strategies.
• Develop and implement company policies and legal guidelines. Act as liaison with regulatory authorities and stay updated on legislative changes impacting the company.
• Conduct legal training sessions and raise awareness among employees on compliance obligations and legal risks to foster a culture of legal accountability.
Job Requirements
The Successful Applicant:
• Bachelor of Laws (LL.B.) or equivalent; BAR admission or relevant legal certification preferred.
• 5–8 years of experience in a legal role, ideally with exposure to in-house corporate legal functions or law firm practice supporting corporate clients.
• Familiarity with Cambodian legal and regulatory environments, especially within FMCG or similar industries, is highly desirable.
• Expertise in contract law, commercial law, labour law, intellectual property, and regulatory compliance.
• Exceptional legal research, analytical, and problem-solving capabilities.
• Strong interpersonal and communication skills to convey legal advice effectively to non-legal audiences.
• Proficient in legal technology and document management systems.
• Ability to manage multiple priorities, handle complex issues, and work effectively under pressure.
